Welcome to Wedisphere ("Wedisphere," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of the Wedisphere mobile application, website, and related services (collectively, the "Platform").
By accessing or using Wedisphere, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Eligibility
You must be at least 18 years old to access or use Wedisphere. By using the Platform, you confirm that you meet this requirement and that the information you provide is accurate and complete.
2. Account Registration & Responsibility
Certain features require you to create an account. You are responsible for:
Maintaining the confidentiality of your login credentials.
All activity that occurs under your account.
Ensuring your account information remains accurate and up to date.
Wedisphere is not responsible for any loss or damage resulting from unauthorized use of your account.
3. Community Standards & Acceptable Use
Your use of Wedisphere is subject to our Community Guidelines, which are incorporated into these Terms by reference.
You agree not to:
Post false, misleading, or deceptive content.
Engage in harassment, discrimination, hate speech, or abusive behavior.
Send spam, unsolicited promotions, or cold-pitch messages.
Misrepresent your identity, experience, or services.
Violate the privacy, rights, or safety of others.
Use the Platform for unlawful, harmful, or unsafe purposes.
We reserve the right to remove content or restrict access for violations of these standards.
4. User Content
You retain ownership of the content you submit or post on Wedisphere ("User Content"). By submitting User Content, you grant Wedisphere a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, distribute, and use such User Content for the purpose of operating and improving the Platform.
We will not use your User Content for external marketing purposes (such as paid advertisements, press features, or promotional campaigns outside the Platform) without your prior consent. The sublicense right is limited to our service providers (such as hosting, content delivery, and analytics providers) acting on our behalf.
You represent that you have all rights necessary to share your User Content and are solely responsible for it.
If you delete your User Content or your account, we will cease using that User Content for ongoing operational purposes, though it may persist in backups for a limited period and may remain visible where it has been shared with or referenced by other users (for example, in another user's saved items or in group conversations).
5. Paid Features, Subscriptions & Promotions
Wedisphere may offer paid features, subscriptions, or promotional tools. Fees, billing terms, and access details will be disclosed at the time of purchase.
Subscriptions may renew automatically at the end of each billing cycle at the then-current rate, unless cancelled before the renewal date. You may cancel auto-renewal at any time through your account settings; cancellation takes effect at the end of the current billing cycle, and you will retain access to paid features until that time.
Except where required by applicable law (including statutory cooling-off rights in certain jurisdictions) or as expressly stated in writing, all payments are non-refundable. Wedisphere does not guarantee visibility, engagement, bookings, sales, or business outcomes.
6. Third-Party Services & Links
The Platform may include links to or integrations with third-party services. Wedisphere does not control and is not responsible for the content, policies, or practices of third parties. Your use of third-party services is at your own discretion and risk.
7. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Wedisphere provides community, discovery, and educational content for informational purposes only. We do not provide legal, financial, medical, or professional advice.
AI-powered recommendations, matches, and suggestions are provided as-is and do not guarantee specific results, bookings, or business outcomes.
Your interactions with other users are your responsibility. Wedisphere is not liable for disputes, losses, or damages arising from user interactions, listings, or third-party services.
8. Platform Availability & Changes
We strive to maintain reliable access to the Platform, but do not guarantee uninterrupted or error-free service. Wedisphere may modify, suspend, or discontinue features or services at any time without liability.
9. Account Suspension & Termination
We reserve the right to suspend or terminate accounts that:
Violate these Terms or the Community Guidelines.
Harm the integrity, safety, or reputation of the Platform.
Engage in repeated or serious misconduct.
Termination may occur without prior notice where appropriate.
Upon termination, your access to the Platform will cease. Your User Content may remain on the Platform where it has been shared with or referenced by other users, subject to the license granted in Section 4, unless you request deletion. Data retention and deletion are handled in accordance with our Privacy Policy.
10. Intellectual Property
All Wedisphere trademarks, logos, branding, design elements, and Platform content (excluding User Content) are owned by Wedisphere and may not be used, copied, or modified without prior written consent.
11. Copyright & DMCA Policy
Wedisphere respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Platform infringes your copyright, you may submit a notice to our designated agent containing:
Your physical or electronic signature.
Identification of the copyrighted work claimed to have been infringed.
Identification of the allegedly infringing material and information reasonably sufficient to permit us to locate it (such as the URL or post).
Your contact information (address, telephone number, and email).
A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
DMCA notices should be sent to our Designated Agent at: support@wedisphere.com (subject line: "DMCA Notice").
We may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers. If you believe your content was removed in error, you may submit a counter-notice containing the information required under 17 U.S.C. ยง 512(g).
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WEDISPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL WEDISPHERE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WEDISPHERE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Use of Wedisphere is at your own risk.
13. Indemnification
You agree to indemnify and hold harmless Wedisphere from any claims, losses, damages, or expenses (including reasonable legal fees) arising out of your use of the Platform, your User Content, or your violation of these Terms.
14. Changes to These Terms
We may update these Terms from time to time. We will provide reasonable notice of material changes via email or in-app notification. Continued use of the Platform following updates constitutes acceptance of the revised Terms.
15. Governing Law, Venue & Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
Except for disputes that may be brought in small claims court, any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in the county of Wedisphere's principal place of business in California, and you consent to the personal jurisdiction of those courts.
Nothing in this Section limits any non-waivable rights you have under the laws of your place of residence.
